Who these terms are for
These terms apply when a school, a teacher acting for a school, or another educational organisation (“you”, “the school”) uses the Tallyfall teacher panel at teach.tallyfall.com and buys or tries a licence from {{COMPANY_LEGAL_NAME}}, {{COMPANY_ADDRESS}} (“we”, “us”).
The general Terms of Use also apply. If they conflict, these school licence terms take priority for the teacher panel and licences.
If you sign up as a teacher on behalf of a school, you confirm that you are allowed to do so.
What the licence includes

A class licence is for one class. Students must not be added beyond the limit, and class codes must only be shared with the students of that class.
For a school licence, write to [email protected]. Individual agreements take priority over these terms where they differ.
Free trial
- The trial lasts 30 days and covers one class.
- You do not need to give card or payment details.
- When the trial ends, the class stays visible to the teacher but the licence features stop until you buy a licence. Students lose the extra content that came with the class.
- If you do not buy a licence, the trial data is deleted as described in the Schools privacy notice.
Billing and renewal
- Licences run for one year from the date of purchase.
- You can pay by card through Stripe Checkout or by bank transfer against a Stripe invoice.
- Licences renew automatically every year at the then current price. We remind you by email before the renewal. If the price changes, we tell you in advance, and you can cancel before the renewal.
- Payment by invoice is due by the date shown on the invoice. If payment is late, we may pause the licence features after a reminder.
Invoices and VAT
- Prices are shown in euros, excluding VAT. VAT is added where applicable.
- You receive an electronic invoice for every payment.
- For schools and organisations in the EU outside the seller’s country that give us a valid VAT number, the invoice may be issued without VAT under the reverse charge rule, and you account for the VAT.
- For other customers, VAT is charged according to the rules of the customer’s country.
- Payments are processed by Stripe. We never see or store full card details.
Cancellation
- You can cancel the renewal at any time in the panel under Licence and billing, or by writing to [email protected].
- The licence stays active until the end of the paid year. We do not refund unused months, unless the law requires it.
- We may end a licence if these terms are seriously broken, for example if class codes are sold or shared outside the class. We will warn you first where possible.
- When a licence ends, we delete the class data as described in the Schools privacy notice.
Data protection
For student data, the school is the controller and we are the processor. We process student data only to provide the service and only on your instructions. The details, including the data we process, subprocessors, breach notification and deletion, are in the Schools privacy notice. Our data processing agreement (DPA) template is available on request from [email protected].
Please make sure students use only the ready-made nicknames and that your school’s own rules on the use of digital tools are followed.

Liability
The liability rules of the Terms of Use apply. In addition, for licences, and to the extent the law allows, our total liability for slight negligence in a licence year is limited to the licence fees paid for that year.
Governing law
These terms are governed by {{GOVERNING_LAW}}.
Changes
We may update these terms. We will tell licence holders by email at least 30 days before an important change takes effect. If you do not agree, you can cancel before the change applies.
